封測雙強颱風天沒閒著，瞄準臨時股東會開戰！日月光昨日以大股東身分發出公開信，指出矽品與組裝大廠鴻海以增發新股、換股結盟的5大反對意見；矽品董事長林文伯不甘示弱，也以千字文反擊，列舉了與鴻海結盟的7大優點，更直接點出日月光入股後的潛在風險。日月光昨刊登廣告，列出反對矽品與鴻海換股結盟的5大理由，除了對訂定換股價格的合理性有待商榷之外，在尚未經過股東會同意前，矽品已經逕自決定以提高授權資本額的方式，與鴻海進行股權交換，認為這與公開收購案不同，矽品與矽品的股東不會因為換股結盟得到任何現金對價，「矽品不宜以低價大量發行新股、稀釋全體股東授權」。

封測雙強颱風天沒閒著，瞄準臨時股東會開戰！日月光昨日以大股東身分發出公開信，指出矽品與組裝大廠鴻海以增發新股、換股結盟的5大反對意見；矽品董事長林文伯不甘示弱，也以千字文反擊，列舉了與鴻海結盟的7大優點，更直接點出日月光入股後的潛在風險。日月光昨刊登廣告，列出反對矽品與鴻海換股結盟的5大理由，除了對訂定換股價格的合理性有待商榷之外，在尚未經過股東會同意前，矽品已經逕自決定以提高授權資本額的方式，與鴻海進行股權交換，認為這與公開收購案不同，矽品與矽品的股東不會因為換股結盟得到任何現金對價，「矽品不宜以低價大量發行新股、稀釋全體股東授權」。

日月光抨擊，矽品將10月15日臨時股東會的停止過戶日設定為9月15日，這樣將無法針對提案發表意見，嚴重損害日月光的股東權益。日月光強調，最重要的是，矽品至今仍未依規定，對外公告其與鴻海簽訂完成的策略聯盟暨股份交換合作契約全文，同時讓股東瞭解策略聯盟暨股份交換合作契約之實質內容。矽品昨也發布董事長林文伯署名、寫給股東的一封信，請求股東支持與鴻海的策略結盟案。林文伯這封信字數接近4500字，從與鴻海結盟的背景開始說起，點出與鴻海聯盟之後，將獲得包括系統級封裝市場商機、IC封裝夥伴、贏取新興市場的成長商機、分享相關技術與製程、提升成本效率及製程用話、進攻穿戴式裝置及物聯網等7項優點。林文伯強調，為了建立長期的夥伴關係，這是以平等的方式換股，沒有提供折價或溢價給任何一方，並列出計算方式，強調股價計算的合理性。除此之外，矽品也火力全開，認為日月光是矽品競爭者，利益考量與矽品的其他股東不同，直指日月光未來可能阻擋矽品的策略交易等議案，並且可以施壓、更換矽品董事，迫使矽品改變策略，這也讓矽品的未來發展及策略產生很大的不確定性。(中國時報)，
